VEXLAR DIGITAL Limited Liability Company (the “Contractor”) invites any legal entity, individual entrepreneur or private individual (the “Client”) to enter into a service agreement on the terms of this public offer (the “Offer”).
1. General Provisions
1.1. The Offer is a public offer within the meaning of the Civil Code of the Republic of Uzbekistan. The agreement is deemed concluded upon acceptance of the Offer.
1.2. Any of the following actions by the Client constitutes acceptance of the Offer: payment of an invoice or subscription; clicking the “Pay” button on the Website’s payment page with the box confirming agreement with the Offer checked; written confirmation of an Order by email or messenger.
1.3. If the Contractor and the Client have signed a separate agreement, the terms of that agreement prevail to the extent they conflict with the Offer.

4.2. Within one business day, the Contractor contacts the Client, clarifies the task and sends an estimate in hours broken down by Stage.
4.3. An Order is deemed agreed once the Client confirms it in writing or pays the invoice issued on the basis of the Order.
4.4. Any change in the scope of work is documented in an additional Order. The price of an agreed Stage does not change without the Client’s consent.

5.3. If the Client declines the Support Subscription when agreeing the Order, development is paid at the Standard Rate.
5.4. If the Client terminates the Support Subscription before the end of the Minimum Support Term, the Client pays an additional amount equal to: the development price at the Hourly Cost Rate × 40% × (the number of unpaid months of the Minimum Support Term ÷ 6).
5.5. Monthly support plan prices: Start — 2,500,000 UZS, Business — 6,500,000 UZS, Partner — 12,900,000 UZS. Hours worked beyond those included in the plan are paid at the Hourly Cost Rate.
5.6. Third-party costs (servers, domains, paid services, licenses, app store publishing) are paid by the Client at their actual cost unless they are included in the Order.
5.7. Value added tax is shown on the invoice in accordance with the Contractor’s tax regime.
6. Payment Procedure
6.1. Payment is made in Stages. Unless the Order provides otherwise, the Client pays 50% of the Stage price before the Stage starts and 50% after the Stage is accepted.
6.2. The Support Subscription is paid monthly in advance, before the start of the month being paid for.
6.3. Payment is made by bank transfer to the Contractor’s settlement account or by bank card on the secure payment page of the partner bank, as described in the “Payment Procedure and Security” document.
6.4. The Client’s payment obligation is deemed fulfilled when the funds are credited to the Contractor’s account or the card payment is successfully completed.
6.5. The Contractor charges the Client no additional fees for payment by bank card.
6.6. If payment is more than 10 business days overdue, the Contractor may suspend the Services. In that case, deadlines are extended by the period of the delay.

8.5. Response times do not apply to incidents caused by actions of the Client or third parties, failure of third-party infrastructure, or force majeure.
9. Rights and Obligations of the Parties
